Use of Services

Client Property

Intellectual property rights for custom-developed solutions are defined in individual service agreements. Unless otherwise specified, clients retain ownership of their proprietary information and data.

Payment Terms

  • Payment terms are specified in individual service agreements
  • All fees are in US Dollars (USD) or Nigerian Naira (NGN) as agreed
  • Late payments may incur additional charges
  • We reserve the right to suspend services for non-payment
  • Refunds are subject to the terms of individual agreements

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
  • We are not liable for delays or failures due to circumstances beyond our reasonable control

Confidentiality

We maintain strict confidentiality of client information and project details. Both parties agree not to disclose confidential information without prior written consent, except as required by law.

Termination

We may terminate or suspend access to our services immediately, without prior notice, for:

  • Breach of these Terms of Service
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Any reason at our sole discretion

Indemnification

You agree to indemnify and hold harmless Raspib Technology Solutions from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these terms.

Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the Federal Republic of Nigeria.

Any disputes arising from these terms or our services shall be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation, if negotiations fail
  3. Arbitration in Lagos, Nigeria, if mediation is unsuccessful

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the modified terms.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
